These Terms of Service ("Terms") govern your access to and use of the Atria Club LLC platform ("Platform"), operated by Atria Club LLC ("Atria Club," "we," "us"). Atria Club LLC provides private club management software used by member-based clubs ("Clubs"). If you are a Club member or authorized user accessing the Platform on behalf of a Club, these Terms govern your use alongside any policies your Club has adopted.
1. Eligibility and Accounts
Access is provided to individuals authorized by a participating Club, or to prospective Clubs evaluating the Platform. You are responsible for safeguarding your login credentials and for activity under your account.
2. Description of Service
The Platform provides club operations software including member communications, reservations, billing, events, and related administrative tools. Features available to you depend on your Club's configuration and your role.
3. Club Relationship
Each Club maintains its own relationship with its members, including membership terms, dues, and house rules. Atria Club LLC is not a party to that relationship; Atria Club LLC provides the software Clubs use to operate it.
4. Communications and Consent
If you provide a mobile phone number and enable SMS communications, you consent to receive text messages related to your account, reservations, billing, and Club events, as described in our Privacy Policy. Message frequency varies. Message and data rates may apply. You may withdraw consent at any time by replying STOP or adjusting your communication preferences.
5. Acceptable Use
You agree not to misuse the Platform, attempt unauthorized access to accounts or Club data other than your own, or use the Platform for any unlawful purpose.
6. Intellectual Property
The Platform, including its software, design, and content, is owned by AtriaClub and protected by applicable intellectual property laws. These Terms do not grant you rights beyond those necessary to use the Platform as intended.
7. Disclaimer of Warranties
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Atria Club LLC disclaims all warranties, express or implied.
8. Limitation of Liability
To the fullest extent permitted by law, Atria Club LLC shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Platform.
9. Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, without prejudice to any mandatory consumer-protection law of your jurisdiction of residence.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date, and where required by law, additional notice will be provided.
